1. General Provisions & Applicability

These Terms and Conditions of Sale ("Terms") constitute the entire binding agreement between Mechaura International FZE LLC ("Seller", "Mechaura", "we") and the purchasing entity ("Buyer", "Client", "Customer") for all purchases of industrial supplies, specialized abrasive brush segments, hydraulic hoses, elevator accessories, bearings, cutting tools, and engineering spares.

By issuing a Purchase Order (PO), accepting a formal Quotation, or receiving ordered goods, the Buyer unequivocally accepts these Terms, which supersede any conflicting terms in the Buyer's documentation unless expressly agreed in a signed bilateral agreement.

2. Quotations, Pricing & UAE VAT

All commercial transactions are governed by the following pricing conditions:

• Quotation Validity: Written quotations issued by Mechaura International are valid for 30 calendar days from the date of issue unless specified otherwise. Prices for alloy-sensitive tooling or import items subject to severe exchange rate swings may be subject to adjustment prior to final PO confirmation.
• Currency: Unless stated otherwise, all prices are quoted in United Arab Emirates Dirhams (AED) or United States Dollars (USD) for international export.
• Value Added Tax (VAT): In accordance with UAE Federal Tax Authority (FTA) regulations, a standard 5% VAT applies to all domestic supplies within the UAE. Export sales outside the UAE/GCC are zero-rated subject to receipt of compliant official customs exit certificates.

3. Payment Terms, Credit Facilities & Late Settlement

Standard payment terms are as stipulated on the proforma invoice or commercial contract:

• New / Cash Accounts: 100% Advance payment via Bank Wire Transfer (T/T), Corporate Cheque (subject to realization), or approved payment gateway prior to dispatch.
• Approved Credit Facilities: Corporate clients with verified credit approval operate under agreed 30 or 60-day credit terms from invoice date. Credit lines remain subject to periodic risk review.
• Late Payment: Delayed balances may incur statutory late interest at the maximum rate permitted under UAE Commercial Transactions Law, together with any legal recovery costs incurred.

4. Passing of Title, Risk of Loss & Transport

Risk of accidental loss, damage, or deterioration of goods passes to the Buyer upon handover to the carrier or upon arrival at the Buyer's designated delivery premises (depending on agreed Incoterms). Retention of legal title to the goods remains with Mechaura International until the purchase price and associated charges have been settled in full.

5. Product Warranties, Inspection & Return Policy

We guarantee all supplied industrial equipment and components conform to the technical specifications published by their respective certified manufacturers:

• Manufacturer Warranty: Products carry standard OEM manufacturer warranties against material or manufacturing defects under normal operating conditions and proper installation.
• Exclusions: Warranty does not cover routine wear and tear, abrasive erosion, misuse, unauthorized modifications, improper hydraulic pressure overloading, or incorrect lubrication.
• Return Authorization: Standard stock items returned within 7 calendar days in original unopened packaging may be accepted subject to inspection and a standard 15% restocking fee. Custom-manufactured brush segments and cut-to-length hydraulic assemblies are non-returnable.

6. Limitation of Liability & Force Majeure

To the maximum extent permitted by UAE law, Mechaura International's total cumulative liability for any claim arising from contract, warranty, tort, or supply delay shall not exceed the invoice purchase price of the specific goods giving rise to the claim.

Neither party shall be liable for failure or delay in fulfilling obligations caused by Force Majeure events beyond reasonable control, including acts of God, global supply chain embargoes, maritime blockades, extreme weather disasters, or regulatory trade sanctions.

7. Governing Law & Dispute Resolution

These Terms, and all commercial contracts concluded hereunder, shall be governed by, construed, and enforced in accordance with the substantive laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates.

Any dispute, controversy, or claim arising out of or in connection with transactions shall be subject to the exclusive jurisdiction of the competent Courts of Dubai, UAE.
